Mobile device accessory maker Incipio Technologies has announced plans to acquire Skullcandy, which specializes in audio solutions, and gaming products through its Astro Gaming brand. This is the fourth in a spate of recent acquisitions by Incipio, with the company having acquired Incase and Clamcase last year, and Braven back in 2013.
The acquisition will provide Incipio and Skullcandy with new licensing opportunities with partners such as Kate Spade New York, Jack Spade, Burton, Rebecca Minkoff, and Tumi, as well as combining the forces of both companies toward product creation. It’s unclear at this point whether Skullcandy will continue to operate as a separate entity, although this seems likely to be the case based on Incipio’s prior acquisitions.
Under the terms of the definitive merger agreement, Incipio will pay $5.75 per share in cash for the acquisition, or approximately $177 million. The agreement also provides a “go-shop” period that lasts until July 23, 2016, which provides Skullycandy’s board of directors to actively solicit and consider other acquisition proposals prior to accepting Incipio’s offer.
